Could someone explain kindly what cash free debt free means? thank you.

Basically when CVC acquires the Unilever tea division, Unilever will keep the cash reserves in the division, but the company will be obliged to pay any pre-existing debts of the division This allows CVC to purchase the tea division debt-free. This is kind of my understanding of the term.
